Introduction and Acceptance

Welcome to NanoSecond Studio Spark ("DailySpark", "Service", "we", "us", or "our"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Service.

Description of Service

NanoSecond Studio Spark is a platform that uses artificial intelligence agents to analyze startup ideas and business concepts. The Service provides:

  • AI-powered analysis of startup ideas using multiple specialized agents
  • Market research and competitive intelligence reports
  • Business validation insights and recommendations
  • Product requirements documentation and technical specifications
  • Idea validation tools and frameworks

The Service uses AI agents to process your submissions and generate analytical reports. These reports are stored securely in your account for your review and reference.

Account Registration

To use certain features of the Service, you must:

  • Create an account by providing accurate, current, and complete information
  • Maintain and update your account information to keep it accurate and current
  • Maintain the security and confidentiality of your login credentials
  • Notify us immediately of any unauthorized access to your account
  • Accept responsibility for all activities that occur under your account

You may register using email/password authentication or Google OAuth. We collect only the information necessary to provide the Service (email address and name).

User Responsibilities

When using the Service, you agree to:

  • Submit only original ideas or ideas you have permission to submit
  • Not use the Service for any unlawful purpose or in violation of these Terms
  • Not submit content that is offensive, defamatory, or violates third-party rights
  • Not attempt to reverse engineer, decompile, or extract the AI models or algorithms
  • Not abuse or overload the Service infrastructure
  • Not share your account credentials with others
  • Use the analysis results responsibly and at your own discretion

Intellectual Property

Your Content

You retain all ownership rights to the ideas and content you submit to the Service. By submitting content, you grant us a limited license to:

  • Process your submissions through our AI agents
  • Store your submissions and analysis results in your account
  • Use aggregated, anonymized data to improve the Service

We do not claim ownership of your ideas or use them for any purpose other than providing the Service to you.

Our Content

The Service itself, including all software, AI models, analysis frameworks, user interface designs, and documentation, is owned by NanoSecond Studio and protected by copyright and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our proprietary technology.

AI-Generated Content Disclaimer

IMPORTANT NOTICE: The analysis, reports, and recommendations generated by our AI agents are provided for informational purposes only. They should not be considered:

  • Professional business advice
  • Legal advice or guidance
  • Financial advice or investment recommendations
  • Guarantees of success or market viability
  • Comprehensive market research reports

Our AI agents analyze your ideas based on available data and patterns, but cannot account for all market factors, timing considerations, or implementation challenges. You should:

  • Conduct your own independent research and due diligence
  • Consult with qualified professionals (business advisors, lawyers, accountants) before making significant decisions
  • Treat our analysis as one input among many in your decision-making process
  • Understand that AI-generated insights may contain errors or omissions

Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated analysis
  • We are not liable for any business decisions made based on our analysis
  • We are not liable for any lost profits, revenue, data, or indirect damages
  • Our total liability to you for any claims related to the Service is limited to the amount you paid us in the 12 months preceding the claim

Subscription and Payments

The Service offers multiple subscription tiers:

  • Free Tier: Access to Daily Drops (curated public startup analyses). No analysis credits included.
  • Builder Tier: Full analysis with all AI agents and advanced reports
  • Studio Tier: White-glove service with dedicated support, custom sessions, and unlimited analyses

Subscription payments are processed securely through Stripe, our payment processor. By subscribing:

  • You authorize recurring charges to your payment method
  • You can cancel your subscription at any time
  • Cancellations take effect at the end of your current billing period
  • We do not provide refunds for partial billing periods
  • We reserve the right to change pricing with 30 days notice

Credits and Quotas

Access to spark analyses is managed through a credit-based quota system:

  • Free Tier: Receives no analysis credits. Analysis features require a Builder or Studio subscription.
  • Builder Tier: Receives 25 credits per billing cycle, reset on your Stripe billing renewal date. Unused credits expire at each billing renewal and do not roll over.
  • Studio Tier: Has unlimited credits and is not subject to quota limits.

Each spark analysis consumes one credit. If your credit balance reaches zero, you will not be able to submit new spark analyses until your credits are reset or you upgrade your subscription tier. Credits are non-transferable and have no monetary value.

Data Storage and Infrastructure

Your submissions and analysis results are stored securely using Supabase cloud infrastructure. We implement industry-standard security measures to protect your data, including:

  • Encrypted data transmission (HTTPS/TLS)
  • Secure database access controls
  • Regular security audits and updates
  • Restricted employee access to user data

However, no internet-based service is completely secure. You use the Service at your own risk.

Termination

We reserve the right to suspend or terminate your access to the Service at any time if:

  • You violate these Terms
  • You engage in fraudulent or abusive behavior
  • Your account shows signs of unauthorized access
  • Required by law or regulatory authority

Upon termination:

  • Your access to the Service will be immediately revoked
  • We may delete your account data after a reasonable retention period
  • You remain responsible for any outstanding payment obligations

You may delete your account at any time through your account settings.

Changes to Terms

We may update these Terms from time to time. When we make changes:

  • We will update the "Last Updated" date at the top of this page
  • We will notify you via email or through the Service interface for material changes
  • Your continued use of the Service after changes take effect constitutes acceptance of the new Terms

We encourage you to review these Terms periodically.

Dispute Resolution

These Terms are governed by the laws of the jurisdiction where NanoSecond Studio is registered, without regard to conflict of law provisions.

Any disputes arising from these Terms or your use of the Service should first be addressed through good-faith negotiation. If negotiation fails, disputes may be resolved through binding arbitration or in the courts of competent jurisdiction.
